STATEMENT OF RESPONSIBILITY PURSUANT TO ARTICLE 9 OF THE SECOND PART OF COMMUNIQUÉ NO. II-14.1 ON FINANCIAL REPORTS

a) We have examined the Annual Report of Vakıf Finansal Kiralama A.Ş. for the period 1 January - 31 December 2024 and the Corporate Governance Compliance Reports and Sustainability Report made using the Corporate Governance Compliance Report (URF) and Corporate Governance Information Form (KYBF) Templates on the PDP platform in accordance with the Capital Markets Board's decision dated 10.01.2019 and numbered 2/49,

b) To the best of our knowledge within the framework of our duties and responsibilities in the Company, the Annual Report, the Related Compliance Reports and the Sustainability Report do not contain any misrepresentation of the facts on material issues or any omissions that may be construed as misleading as of the date of disclosure,

c) Within the framework of the information we have within the scope of our duties and responsibilities in the Company, the information in the Annual Report honestly reflects the truth about the Company's assets, liabilities, financial position and profit and loss, and honestly reflects the Company's development and performance, financial position, together with the significant risks and uncertainties faced

II-14.1 SAYILI TEBLİĞİNİN FİNANSAL RAPORLAR BAŞLIKLI İKİNCİ BÖLÜMÜNÜN 9. MADDESİ GEREĞİ SORUMLULUK BEYANI

a) Vakıf Finansal Kiralama A.Ş.'nin 1 Ocak - 31 Aralık 2024 dönemine ilişkin Faaliyet raporunun ve Sermaye Piyasası Kurulu'nun 10.01.2019 tarih, 2/49 sayılı kararı gereğince KAP platformu üzerinden Kurumsal Yönetim Uyum Raporu ( URF) ile Kurumsal Yönetim Bilgi Formu (KYBF) Şablonları kullanılarak yapılan Kurumsal Yönetim Uyum Raporlarının ve Sürdürülebilirlik Raporunun tarafımızca incelendiğini,

b) Şirket'teki görev ve sorumluluk alanımızda sahip olduğumuz bilgiler çercevesine Faaliyet Raporunun, İlgili Uyum Raporlarının ve Sürdürülebilirlik Raporunun önemli konularda gerçeğe aykırı bir açıklama veya açıklamanın yapıldığı tarih itibariyle yanıltıcı olması sonucunu doğurabilecek herhangi bir eksiklik içermediğini,

c) Şirket'teki görev ve sorumluluk alanımızda sahip olduğumuz bilgiler çerçevesinde, Faaliyet Raporundaki bilgilerin, Şirket'in aktifleri, pasifleri, finansal durumu ve kar zararı ile ilgili gerçeği dürüst bir biçimde yansıttığını, Şirket'in gelişimi ve performansını, finansal durumunu, karşı karşıya olunan önemli riskler ve belirsizliklerle birlikte dürüstçe yansıttığını

Beyan ederiz.
